Terms of Use

1. Introduction

These Terms of Use (“Terms”) govern your access to and use of the internal and partner-facing platforms, portals, and related tools operated by GAC Solutions (“GAC”, “we”, “us”, or “our”), including but not limited to GAC timesheet, onboarding, payroll, and vendor-management applications (collectively, the “Services”).

By accessing or using the Services, you confirm that you:

  • Are an authorized user acting on behalf of GAC Solutions or one of its customers, vendors, or partners; and
  • Agree to be bound by these Terms, our Privacy Policy, and any applicable supplemental agreements (such as MSAs, SOWs, or licensing agreements).

If there is any conflict between these Terms and a written agreement signed between your organization and GAC Solutions, the signed agreement will prevail to the extent of the conflict.

2. Scope and Permitted Use

The Services are provided solely to support legitimate business activities related to your relationship with GAC Solutions, including management of:

  • Timesheets, work hours, and project allocations;
  • Vendor and contractor engagement and invoicing;
  • Onboarding, compliance, and internal workflows;
  • Other finance, HR, or operations processes as communicated by GAC.

Unless expressly authorized in a written agreement with GAC Solutions, you must not:

  • Provide access to the Services to any third party not formally onboarded or authorized by GAC;
  • Use the Services to build or deliver a competing product or service;
  • Use any automated tools (such as robots, spiders, or scrapers) to access, extract, or index the Services;
  • Attempt to disable, overload, interfere with, or circumvent any security or access controls;
  • Use the Services for any purpose that is unlawful or prohibited by these Terms.

3. User Accounts, Access, and Security

You may be required to create an account or use single sign-on credentials to access the Services. You are responsible for:

  • Maintaining the confidentiality of your username, password, and multi-factor authentication devices;
  • Ensuring that your account is used only for legitimate business purposes;
  • Immediately notifying GAC Solutions or your internal administrator of any suspected unauthorized access, compromise, or misuse.

Actions taken through your account will be deemed authorized by you, unless you have promptly notified us of suspected misuse and we have had reasonable time to act.

4. Confidentiality and Proprietary Information

The Services may display or store confidential or proprietary information belonging to GAC Solutions, our customers, vendors, consultants, or employees, including but not limited to:

  • Payroll and rate information;
  • Contracts, statements of work, and invoices;
  • Candidate, consultant, and employee data;
  • Internal process documentation and configurations.

You must treat all such information as confidential and use it only as permitted under your role and any applicable agreement. You must not disclose confidential information to any unauthorized party, including colleagues who do not need access for their work.

5. User Content and Submissions

You may input or upload data, documents, and other materials to the Services, such as timesheets, invoices, comments, attachments, and forms (“User Content”). You represent and warrant that:

  • You have all necessary rights and permissions to provide the User Content; and
  • Your User Content does not violate any law, contract, or rights of third parties.

You must not upload or submit any content that:

  • Is unlawful, fraudulent, defamatory, harassing, discriminatory, or otherwise objectionable;
  • Infringes any intellectual property or privacy rights;
  • Contains malicious code, malware, or security exploits;
  • Constitutes bulk unsolicited messages or spam.

To operate, maintain, and improve the Services, you grant GAC Solutions a limited, non-exclusive, worldwide license to host, process, and use your User Content solely for legitimate business purposes consistent with your organization’s use of the Services and our agreements with your organization.

6. Monitoring and Audit

Subject to applicable law and any contractual commitments, GAC Solutions may:

  • Monitor use of the Services for security, performance, troubleshooting, and compliance;
  • Maintain audit logs of access, changes, and administrative actions;
  • Suspend or revoke user access if we reasonably believe the account is compromised or misused.

7. Third-Party Services and Links

The Services may integrate with or provide links to third-party systems (for example, email providers, identity providers, or document-signing tools). These third parties are responsible for their own terms and privacy practices. GAC Solutions is not responsible for any content, availability, or security practices of third-party services.

8. Intellectual Property

All software, interfaces, data structures, designs, logos, trade names, and related materials used in connection with the Services are owned by GAC Solutions or our licensors and are protected by applicable intellectual property laws.

Except for the limited rights to use the Services as set out in these Terms and any applicable agreements, no license or other rights are granted to you. You may not remove, alter, or obscure any proprietary notices or branding.

9. No Professional Advice

The Services may help you organize and visualize information related to payroll, HR, compliance, or financial operations. Unless expressly stated in a written agreement, the Services do not constitute legal, tax, accounting, HR, or other professional advice. You are responsible for seeking appropriate professional advice before taking decisions based on information from the Services.

10. Warranties and Disclaimers

The Services are provided on an “as-is” and “as-available” basis. To the fullest extent permitted by law, GAC Solutions disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.

We do not guarantee that the Services will be uninterrupted, error-free, or free from security vulnerabilities, nor that all data will be accurate or complete. Planned or unplanned downtime and maintenance may occur.

11. Limitation of Liability

To the maximum extent permitted by law, GAC Solutions and its directors, employees, and affiliates will not be liable for any:

  • Indirect, incidental, special, punitive, or consequential damages; or
  • Loss of profits, revenue, data, goodwill, or business interruption,

arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Services, whether in contract, tort, or otherwise, will be limited as set out in the applicable written agreement between your organization and GAC Solutions. If no such agreement exists, our total liability to you will not exceed the amount, if any, paid by your organization to us for the specific Service giving rise to the claim during the twelve (12) months preceding the event.

12. Compliance, Export, and Sanctions

You agree to use the Services in compliance with all applicable laws, including export control, sanctions, and data protection laws. You must not use the Services in connection with restricted parties or prohibited activities under applicable trade laws.

13. Changes to the Services and to These Terms

We may modify or update the Services and these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice through the Services or via your organization.

Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

To the extent not overridden by an applicable written agreement, these Terms will be governed by the laws specified in your organization’s contract with GAC Solutions, or, if no such contract exists, the laws of the State or jurisdiction where GAC Solutions primarily provides the Services, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services will be handled in accordance with the dispute-resolution provisions in the relevant contract between your organization and GAC Solutions, or, absent such provisions, in the competent courts of that jurisdiction.
